Everyone’s watching M&A deals, and some of the most strategically valuable moves happening in the accounting profession right now are integrations, not acquisitions. Call them mergers, combinations, fusions - doesn’t matter. What matters is the design logic underneath them. In a market flooded with PE interest, what firms need just as much as, if not more than scale, is structure. And structure is often easier to build with a peer than a checkbook. Especially when the counterparties bring complementary infrastructure, shared values, and just enough friction to create a third thing that’s better than either firm alone. Inorganic growth is not necessarily the power play. Sometimes the more interesting and the more leveraged move is the combination that makes your firm too integrated to be commoditized, too client-centric to be replaced, and too scalable to be ignored by capital. - Mark

At Granite, we periodically ponder the interesting ways that valuation best practices (as described in documents like the AICPA practice guide or the ruins of the Mandatory Performance Framework) intersect with the reality of valuing venture-funded development stage companies. How “Going” is this Concern? We look at an enterprise as either a going concern (an ongoing business utilizing its assets to create a greater value than the sum of its parts) or as a collection of assets no longer (or net yet) able to create that greater value and thus having their highest value sold separately (dissolution value). In reality, many early stage companies have little obvious going concern value. Say a company has raised $10 million, spent $8 million of that developing 50% of its tech (or maybe 10% of training an AI model), and has $2 million of cash representing 3 months of runway. The Company may be developing according to plan, but cash combined with an unfinished product (possibly a long way from completion) is hardly an enterprise. It's a collection of assets; with intellectual property (hopefully) being the bulk of the value. At this stage, the value in the Company is akin to a bet where there is a large payoff if it works and something close to or equal to $0 if it doesn’t. The value of the speculative investment in the company is related to the perceived payoff and the risk of realizing that payoff at the time of investment. This is evident in two metrics. · The results of the development process so far, giving evidence that it might work. These would include partial products, learning what doesn't work, etc. All things that help reduce the risk of realizing the goal. · The ability of the Company to garner additional investment, which should help to reduce risk and increase the probability of realizing the goal. Neither of these parameters are objective or encompassed by traditional valuation methods. They are, however, addressable given close consideration to the facts and circumstances of the subject company. This is what we do and it’s what makes our job so interesting.
