They are trying to get a bit more color on where things are headed to [geopolitically],” he said, adding that these firms were pursuing cross-border transactions, as well as investments in companies that operate primarily in Europe or the UK. Despite the announcement that tariffs are now off the table, “Liberation Day taught us that it could be short-lived,” Sheaffer said. Chris Sheaffer liked thisChris Sheaffer liked thisAnother one 🚀 We recently added a new deal tombstone to commemorate an acquisition for our Soundcore Capital Partners Fund III Portfolio Company, TreeServe, LLC. Because this was another proprietary transaction, we weren’t part of / reacting to a banker-led or broker-led auction process. No lucite arrived in the mail from an intermediary. Instead, we had the opportunity to create something that reflects how the deal actually came together, directly, collaboratively, and with alignment from day one. Great creativity by Tejas Tope! That’s been a consistent theme for us. To date, Soundcore has completed 113 acquisitions, and 109 / 96.5% of those have been directly from founders. We believe the best outcomes often come from building relationships early, moving with conviction, and working side-by-side with founders to structure the right long-term home for their business, not just “winning” a process. Proud of the continued momentum at TreeServe and grateful to the founders who trust us as partners with what they’ve built.

Debevoise & Plimpton has significantly built out its private equity offering with the addition of a team of secondaries lawyers led by two Goodwin Proctor partners in New York. Partner Krishna Skandakumar (below) and fellow Goodwin partner Natalia Kubik will join Debevoise's investment management and private fund transactions groups, according to a statement from the firm. Skandakumar will co-chair Debevoise's private fund practice. Skandakumar joined Goodwin two years ago as partner and previously had stints at Akin Gump Strauss Hauer & Feld, and Clifford Chance. Kubik has been at Goodwin for over four years, making partner last year. Commenting on the latest hires, Kevin Schmidt, co-chair of the private equity group, said: “We have seen strong momentum across our secondaries practice as clients continue to turn to Debevoise’s multidisciplinary teams for these complex transactions. 📢 Attention Venture Capital Fund Managers: New California Transparency & Reporting Law You Must Know - Deadlines Looming! 📊 California has ushered in a first-of-its-kind transparency regime that will meaningfully impact VC firms with a nexus to the state — no matter where you’re headquartered. Under the Fair Investment Practices by Venture Capital Companies Act, covered entities must register and report demographic data on the founding teams of companies in which they invested during 2025 - beginning this year. 🔎 Here’s what VC firms need to know (high-level): ✅ Who is covered? Any "venture capital company" that 1) primarily invests in or finances early-stage or growth companies and 2) has a CA nexus — including: • Headquarters or significant presence in CA. • Investments in CA-based companies or companies with significant operations in CA. • Solicits or accepts investment from CA residents/account holders. 📅 Key deadlines: • March 1, 2026: Register with the California Department of Financial Protection and Innovation (DFPI) as a covered entity. • April 1, 2026: First annual demographic report due, covering 2025 investments. 📊 What must be reported? • Aggregated, anonymized demographic data voluntarily provided by founders (gender identity, race/ethnicity, disability status, veteran/LGBTQ+ status, CA residency). • Numbers and dollar amounts of investments in companies primarily founded by diverse teams. • Principal place of business for companies. 📋 Covered entities must distribute the standardized DFPI survey to founding teams to collect this information and incorporate it into their annual report. ⚠️ Why this matters: This requirement extends beyond traditional Silicon Valley firms. Even funds without a physical CA office may be caught if they have a CA investor or portfolio company.
