As operating expenses continue to rise while reimbursement remains flat or declines, many private practices are reevaluating how they generate sustainable revenue. One option worth considering: cash-based services. Services such as yoga, Pilates, fitness, and wellness or prevention programs are non-covered by Medicare and most commercial payers, which means they can be offered on a cash basis when structured correctly. For a DSO or an MSO, finding the right partner means understanding and aligning to the motivations of the practice owner. What are their challenges? Do they want to generate a better financial return? Do they want to access more professional growth opportunities? What are the problems they need to solve? How can you help them envision getting where they ultimately want to go with their business and, most importantly, help them get there? When the partnership is aligned like this, both parties can see a way for the company to achieve what it’s capable of achieving. To Be Acquired by Patient Square Capital By: John Santilli https://lnkd.in/eVNAzPVh   Premier, Inc. announced that it has entered into a definitive agreement to be acquired by an affiliate of Patient Square Capital. Under the terms of the agreement, which has been unanimously approved by Premier’s Board of Directors, Premier stockholders will receive $28.25 in cash per share, representing a 23.8% premium to Premier’s 60-day volume-weighted average price as of September 5, 2025. Premier, Inc. is a leading technology-driven health care improvement company. Patient Square Capital is a dedicated health care investment firm with over $14 billion in assets under management Shortly after the agreement announcement, The Ademi Firm announced it is investigating Premier for possible breaches of fiduciary duty and other violations of law in its transaction with Patient Square Capital. The transaction agreement unreasonably limits competing transactions for Premier by imposing a significant penalty if Premier accepts a competing bid. Earlier this month, Premier announced that it has entered a five-year group purchasing agreement with Premier Infusion and Healthcare Services, Inc. Premier Infusion and HCS is a closed-door infusion pharmacy based in Torrance, California, serving all counties in California as well as Arizona, Colorado, Idaho, Illinois, Nevada and Washington State. The agreement supports Premier Infusion and HCS’s strategic expansion into the ambulatory infusion clinic (AIC) market as well as additional states, building on its excellence in home infusion services while serving a growing need for outpatient infusion services.
